Charlie Sangree is a trial and appellate litigator who joined Quinn Emanuel in 2020. Charlie’s practice specializes in complex commercial disputes in the Delaware Court of Chancery, where he has prevailed for his clients after trial, on summary judgment, and on motions to dismiss.
Charlie has worked on dozens of cases governed by Delaware law, both in the Delaware Courts and in other state and federal courts, as well as in arbitration. He has represented both Plaintiffs and Defendants in these cases, with a focus on breach of fiduciary duty, breach of contract, fraud, and alternative entity disputes. Charlie routinely handles these matters on a highly expedited basis, including in so-called “busted deal” cases and disputes over corporate control and governance. Charlie has a particular expertise in breach of fiduciary duty cases, having litigated such cases involving mergers and acquisitions, corporate reorganizations, equity issuances, and partnership disputes. He also has substantial experience handling Delaware statutory cases, including sending, responding to, and litigating numerous Section 220 books and records demands.
Charlie takes a big picture, strategic approach to cases. Clients, including private equity firms, investment funds, investment banks, and large corporations, trust him to navigate their most urgent, complex issues with a steady hand. His victories include a post-trial victory in a high-stakes partnership dispute, dismissals on the pleadings of nine and ten figure breach of fiduciary duty and fraud claims, obtaining anti-suit injunctions enjoining meritless litigation, and summary judgment wins in complex breach of contract cases. Charlie has also obtained highly favorable results for clients outside the courtroom, helping negotiate settlements both on the eve of trial and before litigation was filed.
Charlie also has an active appellate practice, focusing on appeals in the Delaware Supreme Court, where he has helped obtain precedent-setting results on hotly contested issues of Delaware law.
Prior to joining the firm, Charlie served as a law clerk for the Honorable Joseph R. Slights III on the Delaware Court of Chancery. He is a graduate of Davidson College and Duke Law School, where he was a senior editor of the Duke Law Journal.
